Bağımsız denetim, denetlenen işletmenin finansal tablolarının uluslararası finansal raporlama standartlarına uygun şekilde hazırlanıp hazırlanmadığına, finansal tablolar aracılığıyla paydaşlara sunulan bilgilerin doğru ve güvenilir olup olmadığına dair makul güvence veren bir denetim görüşüne ulaşılması sürecini ifade eder. İç kontrol ise üst yönetimin sorumluluğunda olan ve işletmede yürütülen tüm faaliyetlerin verimli ve etkin bir şekilde çalışmasını sağlamak amacıyla kurgulanan bir sistemdir. Bağımsız denetim sürecinde işletmenin iç kontrolleri sürekli olarak gözden geçirildiğinden bu iki kavram sürekli etkileşim halindedir. İç kontrol gerek işletme faaliyetlerinin verimliliğinin ve etkinliğinin artırılması açısından gerekse de bağımsız denetim sürecinin kolaylaştırılması açısından önem arz etmektedir. Bu noktada bağımsız denetim sürecinin iç kontrole ilişkin sorumlulukları kapsamında üst yönetime yapacağı sözlü ve yazılı bildirimler son derece önemlidir. Bu bağlamda tezde, bağımsız denetçiler tarafından yönetime veya üst yönetime yapılan bildirimlerin işletmenin iç kontrol sisteminin geliştirilmesine katkısınının olup olmadığının ortaya konması amaçlanmıştır. Bu kapsamda tezde mülakat yöntemi benimsenmiş, aktif şekilde bağımsız denetim yapan bağımsız denetçilerle ve zorunlu veya ihtiyari olarak bağımsız denetim yaptıran işletme yöneticileriyle görüşmeler yapılmıştır. Araştırma sonucunda; bağımsız denetçilerin yapmış olduğu denetimler esnasında tespit etmiş oldukları iç kontrol eksikliklerine ilişkin tavsiyeleri doğrultusunda işletme yöneticilerinen almış olduğu tedbirlerin işletmelerin iç kontrol süreçlerine olumlu katkılarının olduğu tespit edilmiştir. Özellikle kontrol ortamı ve risk analizi hususlarında yapılan eksiklik tespitlerinin işletmelerin iç kontrol sistematiğinde farklılıklar oluşturduğu, kurumsal bir anlayış geliştirmelerine, kurum için eğitim düzeyinin artmasına ve bölümler arası iletişimin güçlenmesine önemli katkılar yaptığı anlaşılmıştır. 1980'li yıllarda Amerika Birleşik Devletleri'nde çalışmalarına başlanan COSO modeli dünyada en yaygın olarak kullanılan iç kontrol modelidir. Türkiye'de de Kamu İç Kontrol mevzuatında benimsenmiş olduğundan çalışmada yapılan mülakatlardan elde edilen iç kontrol eksikliklerine ilişkin bulgulardan yola çıkılarak, COSO modeline göre işletmelerin iç kontrol süreçlerine ilişkin ilkelerin en çok hangi aşamalarda ihlal edildiği ve bu ihlallerin düzeltilmesiyle işletmelerin iç kontrol sistemlerinde nasıl bir dönüşümün meydana geldiği ortaya konulmuştur. Tespit edilen katkılar doğrultusunda daha fazla işletmenin bu faydaları sağlayabilmesi için ülke genelinde bağımsız denetimin kapsamının yasal olarak genişletilmesinin ülke ekonomisine olumlu katkılarının olabileceği değerlendirilmiştir.
Independent audit refers to the process of reaching an audit opinion that gives reasonable assurance as to whether the financial statements of the audited entity are prepared in accordance with international financial reporting standards, and whether the information presented to the stakeholders through the financial statements is accurate and reliable. Internal control, on the other hand, is a system that is under the responsibility of the top management and is designed to ensure that all activities carried out in the enterprise operate efficiently and effectively. Since the internal controls of the enterprise are constantly reviewed during the independent audit process, these two concepts are in constant interaction. Internal control is important both in terms of increasing the efficiency and effectiveness of business activities and facilitating the independent audit process. At this point, verbal and written notifications that the independent audit process will make to the senior management within the scope of its responsibilities regarding internal control are extremely important. In this context, in this thesis, it is aimed to reveal whether the notifications made by the independent auditors to the management or the senior management contribute to the development of the internal control system of the enterprise. In this context, the interview method was adopted in the thesis, and interviews were conducted with independent auditors who actively conduct independent audits, and with business managers who have had independent audits either mandatory or voluntary. As a result of the research; It has been determined that the measures taken by the business managers in line with the recommendations of the independent auditors regarding the internal control deficiencies they have determined during the audits they have made have positive contributions to the internal control processes of the enterprises. It has been understood that the deficiencies in the control environment and risk analysis issues create differences in the internal control systematics of the enterprises, making important contributions to the development of an institutional understanding, increasing the level of education for the institution and strengthening the communication between the departments. The Coso model which had been implemented in the United States since 1980, is the most commanly applied internal control model. Due to the adoptation of internal control legislation in Turkey, the indications about the internal control deficiencies via interviews have enabled to determine the violations of the internal control processes at various stages hence how the transformation is established after the recovery. In line with the identified contributions, it has been evaluated that the legal expansion of the scope of independent auditing across the country may have positive contributions to the country's economy so that more businesses can provide these benefits. The scope of the independent audit and benefits for a wide range of enterprices must be assured by laws which will lead to positive economic contribution.
