Gerçek Kişi Ticaret Unvanının Korunma Sisteminden Kaynaklanan Sorunlar Üzerine Bazı Düşünceler

Abstract

Gerçek kişi tacirin ticaret unvanı yalın olarak ad ve soyadından oluşur. Bu ticaret unvanında ihtiyaç hissedilir-se ekler de kullanılabilir. Bu kapsamda, gerçek kişi tacir ticaret unvanın asli ve tali olmak üzere iki fonksiyonu vardır. Gerçek kişi ticaret unvanın asli fonksiyonu, gerçek kişi taciri belirleyip diğer tacirlerden ayırt etmesidir. Tali fonksiyonu ise, gerçek kişi tacirin ticari işletmesini diğer ticari işletmelerden ve bu işletmelerin sunduğu mal ve hizmetleri diğer işletmelerin sunduğu mal ve hizmetlerden ayırt etmesidir. Gerçek kişi ticaret unvanı tescil edilip edilmemesine göre iki farklı usulde korunur. Bunlardan ilki, tescil edilmiş gerçek kişi ticaret unvanın özel olarak TTK m.52’ye göre ko- runmasıdır. Diğeri ise tescil edilmemiş gerçek kişi ticaret unvanın genel hükümlere göre ko-runmasıdır. Bu hükümler Türk Medeni Kanunu m.26, Türk Borçlar Kanunu m.57 ve Türk Ticaret Kanunu m.54’tür.

A real person merchant trade name simply consists of one’s name and surname. In case of necessity, a trade name can be used with addendums. In this context, a real person merchant trade name has two functions; one of them is primary function and the other one is secondary function. Real person merchant trade name’s primary function is determining and distinguishing it from other merchants. A real person merchant trade name’s second-ary function is distinguishing the commercial offers of the real person and the services and commodities provided by these offers from other services and commodities provided by the others. Real person trade name is protected in two ways depending on whether its registered or not. First of these is the protection of registered real person trade title pursuant to the article 52 of the Turkish Commercial Code. The latter is the protection of unregistered real person trade title according to the general provisions. Those provisions are article 26 of Turkish Civil Code, article 57 of Turkish Code of Obligations and article 54 of Turkish Commercial Code.
